Startup Permits

Startup permits in Turkey begin with getting the company formation documents in order and completing the legal procedures required for registration. One of the most important steps in launching a business is preparing the papers needed to register with the Trade Registrar. Among these, the Articles of Association are the key documents to draft and notarize, because they must include information about the shareholders, including their names, addresses, contributions to the company’s share capital, and the number of shares they own in the firm.

The company’s management must also be listed in the Articles of Association, including names, how managers are nominated and dismissed, and their roles and liabilities. The same document should also clearly state the trade name of the Turkish firm, its address in Turkey, and a description of its activity. Other sections of the Articles of Association may cover changes that can be made to the company and dispute resolution procedures in the event of disagreements among shareholders. These documents must be drafted in accordance with the norms of the Commercial Code. For general background on the legal framework, you can also review commercial code information.

When starting a sole proprietorship, it is important to remember that a brief application form must be completed with the Trade Register. The partnership deed is similarly important to the creation of partnerships, often referred to as commandite enterprises in Turkey.

At the center of the registration process is the Articles of Association. This document records the essential details of the business and the people behind it. In practical terms, that means the company founders must make sure the document reflects shareholder identity, capital participation, and ownership structure accurately. Since these details form the basis of the company’s legal identity, careful drafting and notarization are essential.

Depending on the type of business being established, additional forms may also apply. A sole proprietorship requires a short application form with the Trade Register, while partnerships rely on a partnership deed. Although the structure differs, the goal is the same: to create a legally recognized business entity under Turkish rules.

Turkish corporation shareholders

The company’s founders, or owners, are the shareholders. They may be individuals or corporations, and they hold a wide range of rights and obligations within the company. A Turkish company must have at least one stakeholder in both private and public companies. These can be Turkish citizens or residents, and foreigners may also act as sole shareholders when founding a company in Turkey.

One of the main responsibilities of shareholders is contributing to the company’s share capital. Depending on their contributions, they are granted more or fewer rights in the company. The most significant advantage for shareholders is that their liability for the company’s debts and other obligations is limited to the amount they invested. In partnerships, the role of shareholder is effectively filled by the partners or members.

Turkish business administration

A Turkish company’s managers hold one of the most important roles in the corporation. In the case of a private business, at least one corporate director must be nominated by the shareholders. A public company in Turkey must be overseen by a board of directors. A minimum of one auditor must also be assigned to the same type of organization.

For private firms, the auditor may be an unbiased third party who is consulted when the company’s financial documents require auditing. It is also worth noting that, regardless of the corporate structure, at least one shareholder must be a director. If a natural person is chosen as a corporate representative, another corporation may fill the managerial position.

Trade name and legal address requirements

You will need both a trade name and a legal address to start a business in Turkey. The first step in registering the company is choosing an acceptable trade name. The name should be unique and not offensive. To make the company name stand out, the applicant may submit three names for approval and then choose the most appropriate one based on the needs of the business.

Branch offices must have the same name as the parent company, which is an important point for investors to keep in mind. Another requirement for a company to be classified as a Turkish resident business is having a local address. The registration address of the business must be in the city where it will operate. After you have found your passion and decided to create a start-up, the next chapter is legality. Dealing with permits and legal procedures can feel overwhelming, but understanding the core requirements makes the process more manageable. Legal processes may be confusing, but you are not alone. If you want to balance business setup with discovering the city, you can also explore places like Grand Bazaar, Taksim Square, or take a Bosphorus Cruise while planning your next steps in Istanbul.
